Welcome to Accelate.ai. These Terms of Service ("Terms") govern your use of our website and the AI engineering services provided by Accelate.ai ("Agency," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

Accelate.ai provides B2B AI engineering, custom model development, autonomous workflow design, and scalable backend infrastructure services. The specific scope of work for any engagement will be defined in a separate Statement of Work (SOW) or Service Agreement.

2. Intellectual Property (IP)

We utilize a "Layered IP" framework to clearly define ownership of AI-driven projects:

  • 2.1 Client Data & Inputs: You retain all ownership of any data, proprietary information, or prompts provided to us.
  • 2.2 Agency Background IP: We retain ownership of our pre-existing software, proprietary training pipelines, algorithms, and technical "know-how" used to deliver the services.
  • 2.3 Project Deliverables: Upon full payment, we assign to you all right, title, and interest in the custom model weights, specific code, and architectural documentation developed specifically for your project as defined in the SOW.
  • 2.4 AI Outputs: You own all right, title, and interest in the specific outputs generated by the AI systems we build for you. Note: You acknowledge that current legal frameworks regarding the copyrightability of AI-generated content are evolving.

3. AI Performance & Disclaimers

  • 3.1 Probabilistic Nature: You acknowledge that AI systems are probabilistic and non-deterministic. We do not warrant that AI models will be 100% accurate or produce the same output for identical inputs.
  • 3.2 "Hallucinations" & Bias: AI models may occasionally produce incorrect information ("hallucinations") or reflect biases present in training data.
  • 3.3 Client Verification: You are solely responsible for verifying the accuracy, safety, and legality of any AI-generated output before it is used in a production environment or shared with third parties.

4. Acceptable Use

You agree not to use our services or the AI systems we develop to:

  • Generate or distribute illegal, harmful, or discriminatory content.
  • Engage in deceptive practices, including the creation of non-consensual deepfakes.
  • Infringe upon the intellectual property or privacy rights of others.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACCELATE.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS OR DATA) ARISING FROM THE USE OF AI MODELS OR THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

6. Indemnification

You agree to indemnify and hold Accelate.ai harmless from any claims, damages, or losses arising from your use of AI outputs in a regulated industry (e.g., healthcare, finance, legal) without appropriate human oversight, or from Client Data that infringes third-party rights.

7. Governing Law & Dispute Resolution

  • 7.1 Governing Law: These Terms shall be governed by and construed in accordance with applicable laws in the jurisdiction of the client engagement, or as otherwise agreed in the relevant Statement of Work.
  • 7.2 Dispute Resolution: The parties shall first attempt to resolve any dispute through good-faith negotiation within 30 days of written notice.
  • 7.3 Arbitration: Any dispute that cannot be resolved through negotiation shall be finally resolved by binding Arbitration under the rules of the Singapore International Arbitration Centre (SIAC). This provides a transparent, neutral, and internationally enforceable mechanism for dispute resolution.

8. Security, Compliance & Trust

  • 8.1 Global Standards: We align our data processing practices with international standards including the GDPR (EU) and other applicable data protection regulations. We are happy to execute a Data Processing Agreement (DPA) upon request — contact [email protected].
  • 8.2 AI Ethics: We are committed to developing fair, transparent, and accountable AI systems. We actively work to mitigate bias and ensure human oversight in all our engineering processes.

9. Force Majeure

Neither party shall be liable for any delay or failure in performance resulting from causes beyond their reasonable control, including but not limited to AI provider outages, cloud infrastructure disruptions, changes in applicable law or regulations, natural disasters, or other events of force majeure.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website.
